PLEASE NOTE: Your monthly social media campaign includes a lot of services. Everything on your list will be completed. The schedule below may vary depending on the client and the client’s responsiveness to getting necessary items to us and responding to our requests. The Vision information sheet must be filled out in its entirety and all logos, assets and elements must accompany the information sheet or this will delay your start day. We do not accept materials dripping in.
If we are alerted from Facebook or Twitter (and we do get alerted) that you have purchased Facbook likes, Twitter followers and the such, your service will be immediately discontinued and your subscription cancelled.
Services will begin within 3-5 business days after all elements are received. During this time we are setting up content, adding your content into our system, setting all of your channels up in our calendar, assigning your visionary expert and testing all usernames and passwords. Everything is scheduled on a calendar to be produced and submitted to you for approval. Please see the timeline below for details.
We reserve the right to let you know if you are not a good match for our company. If within the first two weeks we decide that your brand or business is not a match we will refund 1/2 of your initial first subscription and cancel your subscription. We do not promise fast quick fixes or blackhat services. Our team of professionals know that Social Media requires consistency and a time commitment to be successful. Everything we do is organic and white hat.
We simply pull you off of the distribution calendar and push you back 2 days. we continue to do that until we hear from you. We send the items for review and send a second email.
All clients are required to use the portal provided for communication. You have two ways to communicate with our staff. Go to the CONTACT tab and complete the form. Please indicate if your question is with Support, Billing or Sales. Someone will respond within 2 hours. You may also directly email our team at admin@innovativemediastrategies.com and someone will respond within 2-4 hours.
Clients may only email communicate with our team as they do not stop all day to return calls and sit on phone calls. Anything requiring a phone call a member of management will make the return call.
Here is what you can expect.
1-14 Days
We are receiving your materials, testing logins and running a scan of your website for typos or broken links. We do not begin posting if your website has broken links. You must have your web developer fix this. Our team of experts begin the moment you have subscribed. We will review your information, set up your spread sheets, developing your content bucket which initially takes 3-5 business days. We pull initial content from your website for posting, run your website through our SEO department to see how you rank and which of your online profiles are not up to date. We review your Google profile and other search engine data. We set up all Social Media platforms with customized branded banners, backgrounds, graphics and headers. During this time we will be posting, setting up and designing. Pinterest will be in phase 1 development with at least 10 boards and we continue to load on a regular basis.
During this time your rotation schedule will be tested and established to determine what posting time get the most response from your audience. Your rotation schedule will periodically change, but you will still have 2-5 (usually 3) posts in a 24 hour period. It is important that we have content loaded in deep for a period of two weeks before we will begin our PUSH efforts for likes, connections or followers.
Your posting will be consistent on all channels. We do not move forward on channels that are not prepared due to lack of elements being submitted.
2nd – 4th week
Now that you are set up and your accounts are integrating and working together we will begin the PUSH and building process. We will continue your posting on Facebook and Twitter, and will have posted to You Tube if you have a video. We will also begin integrating all platforms, joining groups, marketing on pages etc…
You will now have your first Facebook page TAB APP, SALE, CONTEST or SWEEPSTAKES designed and loaded.
During your entire process we are monitoring activity.

At this time 2-3 weeks in you will receive your first article for review. Upon approval it will be submitted on a rotating basis to our list of over 50 article marketing sites. Please note that once you are in our system you are set to receive things in a timely consistent manner. Your article will continue to arrive every 2 weeks.
At week 3 you will be receiving your first Press release that will be scheduled for distribution within 7 days of approval.

At 2nd Month
Communicating regularly with communities and interacting creating your noticeable interactive presence create and implement innovative, relevant content for all platforms. We begin your campaigns and Facebook Marketplace campaigns. We continue to create original Articles and content to all channels.
Google profiles and page rankings will be monitored. We develop campaigns and strategies for optimal success.

Twice a year we will send out notices that you will have a 48 hour non service time to allow us for resetting of proprietary software systems. systems update and server updates. There will be no credit on your account for this period of non service. One notified your team may go in to your Facebook, LinkedIn, Twitter, Pinterest, tumblr, blog, etc… and post relevant information. You will be notified once our updates are complete. The regularly scheduled updates will take palace on or around March st of each calendar year and November 1st of each calendar year and last approximately 48-72 hours. Please schedule your marketing accordingly.

We do not work with a client unless they are under an active subscription arrangement.
We have no contract, no termination fees, no obligations except that the monthly subscription stay active and then you have unlimited hours, services, graphics or anything else you need.
If Pay Pal subscription is declined all services stop within 24 hours even if your payment was through the end of the month.
If there are any funds owed, prorations, adjustments or refunds these matters once verified will be made within 30 days of decision. This is why we do not have contracts. No refunds will be given on issues arising after 60 days.

Innovative Media Strategies Marketing Terms and Conditions
This Agreement (“Agreement”) contains the complete terms and conditions that apply to your in this binding agreement. As used in this Agreement, “Innovative Media Strategies “we”, “us”, or “our” refers to Innovative Media Strategies. and “you” or “your” refers to the person who contracts us to perform the Services, and performs the administrative functions of the services. The Services are offered to you conditioned on your acceptance without modification of this Agreement. Your use of the Services constitutes your acceptance to this Agreement.
By processing payment and paying for this service you understand that you automatically are agreeing to the following without restraint:
Modifications of Terms and Conditions:

All social media accounts are monitored 24/7 by our mobile Pages Manager APP. In the event of an emergency we respond with action. Any other correspondence will be handled via email. All contacts will be responded to within 24 hours unless it is an emergency. Our social media management services are performed routinely 6 days per week for all platforms except LinkedIn. LinkedIn is managed 5 days per week. All accounts are guaranteed to receive 2-5 posts per day (24 hour period) at our discretion as to which days and which time. Each client is different and this is our strategy for each client. There will be no services from Saturday’s 4 PM EST or EDT until Monday mornings at 8 AM. During that Saturday night and Sunday clients may fill in with social media content. We cease all services in the event of a tragedy or national disaster. We reserve the right to select the holidays which we will not perform services. These are: Easter, Thanksgiving, Christmas and other holidays at our discretion. Our posting is random and rotates on cycles. The cycles rotate every 21 days to cover all time zones and demographics of client base.
All communications regarding services, updates, questions, requests etc… shall be handled in the following manner.

Limitations of Use:
You agree that you have the full authority and right to enter into this Agreement and that you are at least 18 years of age. You also agree that you will not use the Services to transmit, disseminate or distribute:
• Unlawful, harassing, libelous, tortuous, abusive, threatening, or obscene communications of any kind.
• Materials that infringes or violates any third party’s copyright, trademark, trade secret, privacy or other proprietary or property right, or that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable law or regulation.
• Objectionable materials, including without limitation, content that contains blatant bigotry, racism, or hatred, or that promotes illegal activities or physical harm against anyone.
• Spam, chain letters, junk mail or any other type of unsolicited mass e-mail to people or entities who have not agreed to be part of such mailings.
• Viruses or other harmful, disruptive or destructive files.
• Content containing nudity or pornographic material of any kind to people under age 18, or to anyone on lists that are not limited to people age 18 or older.
You further agree: (not all of this will pertain to our project) (a) that you will not attempt to obtain unauthorized access to Services, or to private lists on the Services; (b) that you are solely responsible for your actions in relation to Services, and for any communications transmitted through your email messages.; (c) that you will not forge header or address information or otherwise impersonate another or create a false identity; (d) that you will not systematically extract, collect or harvest, through electronic means or otherwise, any data or data fields, including without limitation, lists, list owner identities, or email addresses, from our Website; (e) that you will not disrupt the normal operations of the Services or cause any substantial change in the usual content or frequency of emails sent using the Services; (f) that you will comply with all laws relating to the transmission of technical data or software exported from the United States; and, (g) that you will comply with all applicable local, state, national and international laws and regulations, including without limitation those related to privacy and data collection. You agree that we may in our sole discretion remove any material that appears to violate any of the foregoing, and may immediately limit or terminate your account or access if it appears you have violated any of the provisions as described herein.
Fees and Payment Terms
You hereby authorize us to charge your Pay Pal account or credit card in advance for the applicable services or email campaigns, you sent or services we have performed or incurred for you or on your behalf in connection with your use of the services during the term of this Agreement.
Such base price will be automatically charged to your credit card until this Agreement is terminated and your account canceled, regardless of account activity.
Disclaimer Cancellation Notice:
1. To keep our services at this incredible low price, and to keep our services contract free, and because our work is posted for you 30 days out creating content in advance, we require a 30 cancellation notice if you wish to cease your services.
2. If you cancel within 10 days of your billing cycle the work has already been done and nor prorations or refunds will be given.

4. Any other special considerations will be made on a case by case basis. We reserve the right to issue refunds if we decide your case meets special consideration. We have up to 30 days to refund once your determination has been granted.
Term of the Agreement
The term of this Agreement will begin upon your first use of the Services and will end when terminated by either you or us as described herein. We may terminate this Agreement at any time due to your failure to comply with all requests. In the event that you would like to terminate this Agreement, you will need to send such notice of termination via email to admin@innovativemediastrategies.com. You must give us a 30 day notice. You will be responsible for the last 30 days service during your notice term. Your termination of the Agreement will be effective upon the last day of the month in which we received such notification.
Innovative Media Strategies
We shall have the right to communicate with you via email, receipt of which by you is considered by Information Product Services essential to our provision of service. You may unsubscribe from such communication at any time.
Disclosure of Information
We will not disclose personally identifiable information about you or your private communications (i.e., content transmitted on private, non-public lists) to third parties, without your permission, unless we believe such disclosure is reasonably necessary to: (1) comply with the law or legal process; (2) protect or defend our rights or property or that of others; (3) enforce this Agreement; (4) respond to claims that the contents of any communications violate the rights of others; or (5) as otherwise provided in the Agreement. From time to time, we will disclose aggregate user demographic data to third parties. We may access your Lists and related communications for technical processing and to address technical problems or service complaints.
Proprietary Rights
We will not sell, trade, rent, lend or give email addresses that you supply us to anyone else for any purpose, nor will we use the addresses you supply us for any purpose other than supplying the Services to you. It is understood that it is possible that some of the addresses you supply us may already be on lists that we own and that we have the right to mail to such addresses.
We do not claim ownership of the materials you provide to us for purposes of using the Services and which were created by you or on your behalf. By transmitting such materials for distribution to your Lists, you grant us a worldwide, royalty-free, and non-exclusive license to reproduce, modify, adapt and publish such materials solely for the purposes of providing the Services to you.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOU EXPRESSLY AGREE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANT LIABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

Indemnification
You agree to indemnify, defend and hold harmless Shelley Costello, Innovative Media Strategies, its parents, subsidiaries, affiliates, officers, directors, employees, agents, and suppliers, and their respective affiliates, officers, directors, employees, and agents, from any claim, action, demand, or damage, including reasonable attorney’s fees, made by any third party arising out of or related to your use of the Services or your violation of this Agreement, including without limitation the infringement by you or any other user of your account, of any intellectual property or other right of any person or entity. We may, at our sole discretion, assume the exclusive defense and control of any matter subject to indemnification by you. The assumption of such defense or control by us, however, shall not excuse any of your indemnity obligations. There are absolutely no refunds for any part of this service.

General
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to its conflict of law’s provisions. You agree that you will bring any claim or cause of action arising out of your use of the Services or this Agreement in the courts located within the county of Orange of FL. and you also agree to submit to the personal and exclusive jurisdiction of those courts. You agree that any claim or cause of action arising out of your use of the Services or this Agreement must be filed within two weeks after such claim or cause of action arose or it shall be forever barred, notwithstanding any statute of limitations or other law to the contrary. If any provision contained in this Agreement is determined unenforceable, then such provision will be severed and replaced with a new provision that most closely reflects the intent of the original provision, and the remaining provisions of this Agreement will remain in full for ce and effect. No waiver of any provision of this Agreement shall be effective except pursuant to a written instrument signed by us waiving compliance, and any such waiver shall be effective only in the specific instance and for the specific purpose stated in such writing. You agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of this Agreement or your use of the Services. You shall not assign this Agreement or any right, interest or benefit under this Agreement without our prior written consent. This Agreement sets forth the entire agreement between you and us, and supersedes any and all prior communications and proposals, whether electronic, oral or written, between you and us with respect to the Services. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
